Why estimates differ from reality

Your employer's payroll system, your complete return, state residency facts, prior-year carryforwards, and rules we don't model (such as many QSBS disqualifiers or every local tax) can all change the outcome.

If you moved states, or worked in more than one state, between a grant and a sale, how much each state taxes depends on residency and workday facts that only you and the states can settle. Our split is an estimate based on the share you enter, and states may audit a move and disagree.

Local taxes use one flat rate, which can differ from graduated city tax tables.

Treat every figure here as a starting point for a conversation with a CPA or enrolled agent.

Planning tools and deadlines

Deadlines we show, such as the 30-day 83(b) window or a post-termination exercise date, are calculated from the dates you enter and general rules. Your plan documents, holidays, and IRS guidance can change the actual deadline. Never wait until the last day.

The QSBS checker covers only the main requirements of IRC Section 1202. A "likely qualifies" result is not a determination; many other rules can disqualify stock.

Tender offer and leaving-the-company comparisons assume today's tax law, your current salary, and the prices and probabilities you enter. Future prices, IPO timing, and tax rules are uncertain.

Several grants of the same type are combined for the tax math using share-weighted prices. Totals are exact, but per-grant rules such as the ISO $100,000 limit are applied to your first grant only.

Imported data

Statement imports are read automatically and may contain errors. Check every imported figure against your grant agreement or equity portal.
