The terms that govern your use of VestMath, including paid plans and the limits of our estimates.

Agreement
By using vestmath.com (the "Service"), you agree to these Terms and our Privacy Policy. If you don't agree, please don't use the Service. You must be at least 18 to create an account or buy a plan.
Educational use only
VestMath provides educational estimates produced by applying published tax rules to the information you enter. It is not tax, legal, accounting, or investment advice, and using it does not create a professional or advisory relationship.
Results depend on the accuracy of your inputs and on rules we choose to model. Your actual tax may differ. Confirm any decision with a licensed tax professional before you act.
Tax tables and accuracy
Tax brackets, thresholds, and rates change every year and are sometimes revised mid-year. We check our tables against the cited government sources and update them when laws change, but we don't guarantee that every figure is current, complete, or error-free.
Imports and planning tools
Statement import reads your file automatically and can misread or miss figures. You are responsible for checking every imported number against your grant documents before relying on the results. Only upload files you have the right to share.
Planning tools (such as the ISO exercise planner, leaving-the-company planner, tender offer comparison, 83(b) deadline tracker, QSBS eligibility checker, and RSU backlog warning) apply simplified assumptions described on each tool. Their outputs, including deadlines and eligibility results, are estimates and not determinations. Check deadlines against your plan documents and the IRS, and confirm eligibility with your company and a tax professional.
The tax-preparer section of the PDF report lists where figures usually appear on IRS forms. It is a starting point for your preparer, not a completed return or a substitute for the forms your employer and broker issue.
The assistant
Assistant answers are written automatically by an AI model. They can be incomplete, out of date, or wrong, even when they cite a source. Check every rule against the cited source before relying on it.
The assistant, statement import, and emailed results links have daily usage limits so the Service stays available to everyone. We may change these limits.
Accounts
You're responsible for keeping your sign-in secure and for activity under your account. Tell us promptly if you suspect unauthorized access.
Paid plans and billing
Single report: a one-time purchase of a PDF for the scenario shown when you bought it. It can't be changed later.
Tax year pass: a one-time purchase that unlocks Premium features until the date shown at checkout. It does not renew.
Premium features include the full tax breakdown, per-agency balances, the quarterly payment plan, the ISO exercise and cost-of-waiting planners, multi-year vesting projections, the leaving-the-company planner, the tender offer comparison, statement import, and the PDF report with its tax-preparer section. We may add, change, or retire individual features; if we retire a major feature during a paid period, we'll offer a replacement or a prorated credit.
Premium annual: a subscription billed once a year that renews automatically at the then-current price until you cancel. We email you a reminder about a week before it renews. You can turn off renewal anytime from your account page; you keep access until the end of the year you've paid for.
Advisor: a monthly subscription for tax and financial professionals, priced by the number of advisor seats. It renews automatically each month until you cancel from your account page, and you keep access until the end of the month you've paid for. Launch pricing applies only for the period shown at checkout. The buyer is responsible for who they give seats to, and seats may not be shared by more than one person.
Prices are shown in US dollars and may exclude applicable taxes. Payments are processed by Base44 Payments; we never see your full card number.
Refunds: because paid features are delivered immediately, purchases are non-refundable except where the law requires otherwise. If you were charged in error or a feature you paid for didn't work, contact us within 14 days and we'll make it right.
Acceptable use
Don't scrape or copy the Service or its content in bulk, resell access, try to break or overload it, access other users' data, or present its output as professional advice to others.
We may suspend or close accounts that break these rules.
Content and intellectual property
The Service, including its software, text, graphics, and calculations, belongs to VestMath and is protected by law. You may use it for your own personal, non-commercial purposes. You keep ownership of the scenarios and data you enter, and you let us store and process them to provide the Service to you.
Third-party links and partners
The Service links to partner and third-party sites that we don't control. Your dealings with them are between you and them, and their terms apply.
Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, VestMath and its owners, contributors, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any taxes, penalties, interest, or investment losses arising from your use of or reliance on the Service.
Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or $50.
Indemnification
You agree to defend and hold VestMath harmless from claims arising from your misuse of the Service or your violation of these Terms.
Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York County, New York, and you and we consent to their jurisdiction. You may also bring an individual claim in small-claims court where you live.
Changes and termination
We may update these Terms. If a change is material, we'll update the date at the top and notify signed-in users. Continuing to use the Service after a change means you accept it.
You can stop using the Service and close your account at any time. Sections on liability, indemnification, and governing law survive termination.
